General Terms and Conditions of Use of AllTeams website

The following terms and conditions ("Terms") apply to all users of the allteams.co.nz website (“the Site”) and to all services provided through the Site by AllTeams Limited ("AllTeams", "we" or "us"). By using the Site you will be deemed to agree to these Terms. If you do not agree to be bound by these Terms, you should stop accessing and using the Site.

AllTeams provides the Site to enable the sharing of information and the creation of an online community between clubs and their members and for information to be viewed and shared through processes available on the Site.

  1. User Conduct:

    When using the Site you must not:
    1. defame, abuse, harass, stalk, threaten, breach the confidence of or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
    2. post any inappropriate, defamatory, untrue, offensive, malicious, infringing, obscene, indecent, threatening or unlawful content;
    3.  post any message or material that infringes the intellectual property rights of any third party;
    4. post any content that infringes any patent, trademark, copyright, trade secret or other proprietary right of any party;
    5. post any files that contain viruses, corrupted files, or other programs that may damage the operation of another's computer;
    6.  impersonate any other person, or falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a posted file;
    7. prevent any other person from using the Site;
    8. conduct or forward competitions, surveys or chain letters;
    9. hack into any part of the Site;
    10. send any unsolicited electronic messages (i.e. spam) or other advertisement or promotional material.;
    11. commit or encourage a criminal offence; or
    12. otherwise breach any relevant statute or rule of law.

  2. Liability

    Whilst reasonable care has been taken to ensure the facts stated in the Site are accurate and the opinions given are fair and reasonable, neither we nor any of our employees, to the fullest extent permitted by law, will in any way be responsible for errors or misstatements or be liable whether in contract, tort (including negligence) or otherwise for any loss or damage however caused (whether direct, indirect, consequential, special, or loss of profits).

  3. Proprietary Rights in Content and Confidentiality

    All intellectual property in the Site (other than content uploaded by any Club as described in the Membership Agreement) , including designs, text, graphics, pictures, video, information, applications, software, music, sound and other files is the property of AllTeams and may not be modified, copied, distributed, framed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without AllTeams’ prior written consent, except that you may print, or download to your hard drive, extracts from the Site only for your own use.

  4. Content and AllTeams’ right to monitor

    We do not control or endorse and are not responsible for the content posted by Users on the Site, and we have no obligation to monitor content. However, we may:
    1. review the Site and delete or remove any content that is in breach of these Terms;
    2. disclose any information necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any content.
    If you are dissatisfied with any of content on the Site, you should notify us and discontinue use of the Site.

  5. Linking

    The contents of the Site may include links to third party materials (“linked sites”). We will not be responsible for the contents of any linked site or liable for any direct or indirect loss or damage suffered by you from accessing, using, relying on or trading with third parties. These links are provided to you only as a convenience, and the inclusion of any link does not imply our endorsement of the website or any association with their operators. We reserve the right to prohibit links to the Site and you agree to remove or cease any link upon our request. You may not frame any part of the Site material by including advertising or other revenue generating material.

  6. Payments

    Where you use the online payment facility provided via the Site, we will act as your club’s agent in collecting money on your club’s behalf. We and the club may share revenue generated through the Site, including revenue received through your use of the online payment facility.

  7. Advertisers:

    Any dealings with any advertiser appearing on the Site are solely between you and the advertiser or other third party. We are not responsible or liable for any such dealings or promotions.

  8. Disclaimer:

    The Site makes information and material available to you as a service. Use of the Site material is at your own risk. We are not responsible for any adverse consequences arising out of the use of information contained on the Site. The material provided on the Site does not take into account the particular objectives, situation or needs of any individual users. You should assess whether it is appropriate in light of your own objectives, situation and needs. We do not give any warranty of accuracy or reliability of information contained on the Site to you or any other person. To the extent permitted by law we exclude all responsibility and liability for such material.

  9. Exclusion of warranties:

    The Consumer Guarantees Act 1993 may confer rights and remedies on you which cannot be excluded, restricted or modified. However, we do exclude to the fullest extent permitted by law all other warranties, descriptions, representations or conditions whether implied by law, trade, customs or otherwise in relation to the Site.

  10. Termination of access:

    We may terminate your access to any part of, or all of the Site at any time for any reason without notice. We reserve the right to cease operating the whole or any part of the Site at any time

  11. Changes to Terms:

    We reserve the right to change these Terms at any time by notifying users of the existence of revised Terms through the Site. By continuing to access the Site, you agree to be bound by the amended Terms.

  12. Waiver:

    If at any time we do not enforce any of these Terms or grant you time or other indulgence, we will not be construed as having waived that term or our rights to later enforce that or any other Term.

  13. Severability:

    If any portion of these Terms is deemed to be invalid, illegal or unenforceable the remaining provisions shall remain in full force and effect.

  14. Governing Law:

    These Terms will be governed by New Zealand law and you agree to submit to the exclusive jurisdiction of the New Zealand Courts.

ALLTEAMS Club Site Terms and Conditions

The following terms and conditions ("Terms") apply to all users of the www.allteams.co.nz and www.allstarsdirectory.co.nz websites (“the Sites”) and to all services provided through the Sites by AllTeams Limited ("AllTeams", "we" or "us"). By using the Sites you will be deemed to agree to these Terms. If you do not agree to be bound by these Terms, you should stop accessing and using the Sites.

Introduction

  1. AllTeams provides a web-based solution that generates revenue for the sports community by providing a full set of sports management, entertainment, information and communication tools (the System).
  2. AllTeams has agreed to assist the Club with the development and operation of a club website (the Club Site), to host the Club Site at AllTeams’ website (located at www.allteams.co.nz) and to provide the Club with access to its System on the following Terms.

Terms

  1. Access to Club Site
    1. AllTeams grants the Club a non-exclusive licence to use the System to establish and operate a Club Site.
    2. The attached Website Terms and Conditions and Privacy Policy apply as if they were set out in full in these Terms.
  2. Administration
    1. AllTeams will assist the Club to develop the Club Site, which will include access to the System and all the services listed on AllTeams’ website, including access to a text message service for the Club’s members.
    2. AllTeams’ will assist the Club to send requests to the Club’s members inviting them to join the Club Site. The Club must obtain all relevant permissions to use its members’ personal information for the purpose of inviting its members to join the Club Site.
    3. The Club must obtain all relevant permissions to use its members’ cell phone numbers for the purposes of using any text message service made available by AllTeams.
    4. The Club is responsible for all use of its Club Site (including use of its passwords by others), for all use of any text message service provided by AllTeams and for all use of the Club Site and text message service by its members. The Club must supervise all usage of its Club Site by its members and in particular members who are minors.
  3. Intellectual Property
    1. The Club is responsible for all content uploaded, published or displayed on the Club Site and via text message through the use of the Club’s passwords.
    2. All rights, including intellectual property rights, in content posted by the Club on the Club Site, including designs, text, graphics, results, graphs, statistics, pictures, video, information, applications, software, music, sound and other files (Club Content) are the property of the Club. No Club Content may be modified, copied, framed, reposted, transmitted, or sold in any form without the Club’s prior written consent.
    3. All rights, including intellectual property rights, in all other content on AllTeams’ website is the property of AllTeams and may not be modified, copied, distributed, framed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without AllTeams’ prior written consent.
  4. Revenue Sharing
    1. Where the Club uses the online payment facility provided via the Club Site, AllTeams will act as the Club's agent in collecting money on the Club’s behalf and will account to the Club for such payments.
    2. AllTeams and the Club will share revenue generated through the Club Site, including revenue received through the online payment facility, in the manner agreed between them separately from time to time.
  5. Variation
    1. AllTeams may suspend, change or discontinue any part of its website at any time without notice.
  6. Termination
    1. The Club may terminate its use of the System on giving AllTeams’ not less than four weeks’ written notice by emailing info@AllTeams.co.nz or by such other means of notice acceptable to AllTeams which enables confirmation of the Club’s identity and the Club’s intention to terminate its use of the System.
    2. AllTeams may suspend or terminate the Club’s access to Club Site where:
      1. the Club Site has been inactive for more than 6 months.
      2. the Club breaches any provision of these Terms, the Website Terms and Conditions or the Privacy Policy and fails to remedy the breach within 14 days of receiving notice of that breach.
    3. Termination does not relieve the Club of its responsibilities to pay any amounts due to AllTeams or the Club’s other obligations under these Terms.
  7. Indemnity
    1. The Club indemnifies AllTeams against all actions, claims, costs, losses, damages and other liabilities incurred by AllTeams in connection with the Club’s and its members’ use of the Club Site and the text message service.
  8. Miscellaneous
    1. Any notice to be given under these Terms must be in writing made by email transmission sent to the last known email address provided by the Club on its registration details or to info@allteams.co.nz. Any communication by email will be deemed to be received when transmitted to the correct email address of the recipient.
    2. AllTeams’ failure to insist on strict performance of any provisions of these Terms will not be construed as a waiver of that or any other provision.
    3. If any provision of these Terms is invalid or unenforceable the remaining provisions will remain in full force and effect.
    4. No rights or obligations under these Terms may be assigned without the prior written consent of AllTeams.
    5. These Terms are governed under the laws of New Zealand and the parties submit to the exclusive jurisdiction of the New Zealand Courts.

ALLSTARS Directory Terms and Conditions

The following terms and conditions ("Terms") apply to all users of the www.allteams.co.nz and www.allstarsdirectory.co.nz websites (“the Sites”) and to all services provided through the Sites by AllTeams Limited ("AllTeams", "we" or "us"). By using the Sites you will be deemed to agree to these Terms. If you do not agree to be bound by these Terms, you should stop accessing and using the Sites.

  1. Introduction

    1. ALLTEAMS provides a web-based solution that generates revenue for the sports community (the System).
    2. AllTeams allows the owner of a business (the Business) to list the Business on the System and to provide the Business with access to the System on the following Terms.

  2. Registration

    1. In order to obtain a listing a Business must register on the System and pay the annual fee as set out on AllTeams’ website at www.allstarsdirectory.co.nz (the Website). The Business must complete the registration process by providing AllTeams with current, complete and accurate information as prompted by the registration form. AllTeams reserves the right to reject any application for registration.
    2. Following registration the Business will be listed on the Website in the format as currently in use on the System (Business Listing Page).
    3. The Business Listing Page will be valid for one year from the date of registration, unless another period is agreed by AllTeams and the Business. The Business Listing Page will be renewed for further one year terms on payment of the annual fee as set out on the Website.
    4. The Business can purchase any Add-Ons (as described on the Website) for its Business Listing Page. Add-Ons are valid for the term of the Business Listing Page. Where a Business purchases an Add-On after it has registered its Business Listing Page, payment for the Add-On will be pro-rated for the remaining period of the 12 month term of the Business Listing Page.
    5. The Website Terms and Conditions and Privacy Policy apply as if they were set out in full in these Terms.

  3. Administration

    1. The Business is responsible for all use of its Business Listing Page (including use of its passwords by others), and for all use of the Business Listing Page by its employees and agents.

  4. Intellectual Property

    1. The Business is responsible for all content uploaded, published or displayed on the Business Listing Page through the use of the Business’ passwords.
    2. All rights, including intellectual property rights, in content posted by the Business owner on the Business Listing Page, including designs, text, graphics, results, graphs, statistics, pictures, video, information, applications, software, music, sound and other files (Business Content) are the property of the Business. No Business Content may be modified, copied, framed, reposted, transmitted, or sold in any form without the Business’ prior written consent.
    3. All rights, including intellectual property rights, in all other content on the Website is the property of AllTeams and may not be modified, copied, distributed, framed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without AllTeams’ prior written consent.

  5. Revenue Sharing

    1. The Business may share revenue generated through the Business Listing Page with certain sports clubs on the System in the manner agreed with AllTeams and the relevant club from time to time.

  6. Variation

    1. AllTeams may suspend, change or discontinue any part of the Website at any time without notice.
    2. AllTeams may change these Terms at any time by notifying the Business of the existence of the revised Terms through the Website.

  7. Termination

    1. The Business may terminate its registration on the System on giving AllTeams’ not less than four weeks’ written notice by emailing info@AllTeams.co.nz or by such other means of notice acceptable to AllTeams which enables confirmation of the Business’ identity and the Business’ intention to terminate its use of the Business Listing Page .
    2. AllTeams may suspend the Business’ access to Business Listing Page where the Business breaches any provision of these Terms, the Website Terms and Conditions or the Privacy Policy and fails to remedy that breach within 14 days of receiving notice of that breach.
    3. Termination does not relieve the Business of its responsibilities to pay any amounts due to AllTeams or the Business’ other obligations under these Terms.

  8. Indemnity

    1. The Business indemnifies AllTeams against all actions, claims, costs, losses, damages and other liabilities incurred by AllTeams in connection with the Business’ and any use made of or reliance placed on the Business Listing Page.

  9. Refund

    1. We will provide a refund where it is shown that the service provided under these Terms are not of an acceptable quality under the Consumer Guarantees Act.

  10. Miscellaneous

    1.
